OVERVIEW

These Terms and Conditions ("Agreement") govern your use of digital products ("Products") sold by NCC Wholesale or No Challenge Computing LLC ("Company," "we," or "us") through eBay, Amazon, and other platforms. By purchasing or downloading our Products, you agree to be bound by these Terms and Conditions.

LICENSE GRANT

The Company grants you a non-exclusive, non-transferable, limited license to use the Products for personal use only. This license does not constitute a transfer of ownership.

PERMITTED USES

You may:

• Use the Products for your personal decor and enjoyment

• Make a reasonable number of copies solely for backup purposes

• Display the Products in your personal, non-commercial environments

You may not:

INTELLECTUAL PROPERTY

All Products, including all content, designs, graphics, and other materials contained therein, are owned by the Company and are protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted herein are reserved by the Company.

DISCLAIMER OF WARRANTIES

THE PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

LIMITATION OF LIABILITY

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE PRODUCTS.

LEGAL REMEDIES

In the event you breach any provision of this Agreement, the Company reserves the right to:

• Terminate your license immediately

• Pursue all legal and equitable remedies available under Massachusetts and/or Oklahoma law

• Seek monetary damages for any losses incurred

• Obtain injunctive relief to prevent further violations

• Recover reasonable attorney's fees and legal costs incurred in enforcing this Agreement

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts. Upon relocation of the Company to Oklahoma, the governing law shall transition to the laws of the State of Oklahoma, without giving effect to any principles of conflicts of law.

JURISDICTION

You consent to the exclusive jurisdiction and venue of the federal and state courts located in Massachusetts, and after relocation, to the federal and state courts located in Oklahoma, in all disputes arising out of or relating to the use of the Products or this Agreement.

CHANGES TO TERMS

The Company reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website or other notification to you. Your continued use of the Products following such notification constitutes acceptance of the modified terms.

SEVERABILITY

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
